Company law - place of general meeting?

If shareholders requisition an extraordinary general meeting, could the directors convene the meeting at a place far away from its place of business or the place where most shareholders are resident (so as to discourage attendance)?

Please also cite relevant case laws. Thanks!

The by-laws of a corporation generally state where, when, and for what reason(s) a special meeting may be held, who has the privilege to attend, and advice on proxy "attendance". Holding such a meeting in a place where attendance would be difficult for those involved would probably nullify any actions of the meeting. However, if there is an individual who holds enough shares to be consider a quorum and in effect control the vote, he/she could hold the meeting in their bathroom.

The shareholders should just vote the directors out of office and elect someone they can trust.

Nah, do your own homework. Thanks for the offer though.
