私人有限公司可否委任非執行董事?

Any person could be appointed as a director of a private limited company. There is no requirement for being an executive director or a non-executive director unless clearly stated out in the Memorandum and Articles of Association of the limited company. In practice, no need to state a person being an executive or non-executive director in a private limited company.

董事之委任由股東們按照上市條例、公司法例及公司組織章程所決定。非執行董事是因為要符合上市條例而設立，亦有規定其權責。反之，私人公司在管理層均在股東及董事局監察下運作是無需有非執行董事去獨立監察運作，除非係半官方或者係專營行業。呢一類行業一般已經上市，所以唔存在需唔需要嘅問題。
