有限公司

好處：

有限的債務責任 — 基本上，當一間有限公司因無力清還債務時，其最壞的情況只是解散清盤。公司的股東所損失的只限於其手上的股票和過去已投入的資金，但不會因其公司清盤而破產。因為，股東不需要以其個人資產清還該有限公司的債務。

壞處：

有限公司成立的程序相對地複雜 — 有限公司必需具備「公司章程」和「公司備忘錄」等法定要求的文件。如要修改該等文件，股東和董事均需分別完成法定的程序。另外，有限公司必需保留會計帳册，并每年委託會計師審計其資產、收益和損失。

有限公司的基本資料是公開查閱的。

無限公司

好處：

成立程序簡單 — 無限公司不需向公司注册處登記注册，且在運作上較有彈性，法定程序較少。另外，無限公司的資料是不公開查閱的。在某些商業秘密上有較好的保護。

壞處：

無限的債務責任 — 當一間無限公司無力清還債務時，其全體合伙人或負責人承擔該公司的全部債務。即是說，該公司的全體合伙人或負責人有機會因此而破產。

Ltd company =when the company is bankrupt the ower will only pay the amount that up to the company value set. the owner didn't have to bankrupt. just company himself do . it won't affect the owner the future business credit with bank loan.
non-Ltd company= the owner will have to pay whatever he have to the debt, of course he himself may also be bankrupt.
