解僱公司董事經理一問

公司其中一位股東,獲委任為公司其中一名董事兼出任業務經理,如他退股,公司其他董事決定順勢解僱他,想請問各位,這情況是否當作一般僱員處理而作出賠償,例如代通金及長期服務金(遣散費)?謝謝

If he is getting a monthly salary for this post of Business Manager, he is then an employee of the company. Monthly contribution of MPF by the employer and the employee has to be made. Employment Return has to be filed with the Inland Revenue Department and will be clearly stating this out as salary. All rights of being an employee under the Employment Ordinance should be observed. This salary is normally fixed by the management or the Board of Directors.

This is not simply holding an office of being a director - director fee. The directors' fees have to be approved normally in the Annual General Meeting of Shareholders.

It is not an issue whether he is a shareholder of the company or not.

So, a clear differential treatment has to be found out.
