A, B & C 三個係 equal partners. A 死左， B' s capial 又係 negative balance，咁 C 應該 terminate 個 partnership，定找新 partner 比較合適？請講明原因利害

The orginal partnership Z should be dissolved. A new partnership N should be formed with the new partner. Any assets and liabilities of Z will be divided in accordance with the sharing ratio. B, by law, has to pay up the negative balance. This is a clear-cut arrangement mutually beneficial to all parties.
