請 問 本 地 私 人 有 限 公 司 要 在 同 一 天 更 换 全 體 董 事 局 成 員 的 話,
1）是 否 全 體 舊 成 員 先 resign，才 委 任 新 成 員 呢？再 者，是 否全 體 舊 成 員 開 會 通 過 及 簽 署 會 議 記 録 便可？
2) 定 還 是 先 委 任 新 成 員後, 全 體 舊 成 員才resign？及 由 新 成 員 開 會 通 過 及 簽 署 會 議 記 録?

由 全體舊董事 開董事會, 通過同意委任一批新董事, 並通過全部舊董事辭任; 另外 一班新董事每人要簽名 Consent to act as director.

Assume the articles of the company follow Table A of companies ordinance.
Steps:
1. Call an extraordinary general meeting ("EGM") of shareholders.
2. All directors resign at the EGM.
3. Shareholders elect the new directors by vote at the EGM.
4. Submit Form D4A to Companies Registry within 14 days of change.
Shareholders have to sign on the minutes. New directors have to sign on Form D4A. Old directors nothing to sign.

Typo. The form should be Form D2A "Notification of change of secretary and director (Appointment/Cessation)" but not Form D4A.
