Sam offered his car for sale to Peter for $50000 giving him seven days to made up his mind. On the sevrnth day, Peter wrote to Sam saying that he would giving $40000 for the car and if Sam were agreeable he was to drive the car to John's Garage. Peter added: If I don't hear to the contrary, I will consider the car mine'. Sam arranged for the car to be driven to John's Garage, but Peter has not paid for or taken delivery of the car and now seeks to escape liability. Advise Sam.

Peter wrote to Sam saying that he would giving $40000 for the car and if Sam were agreeable he was to drive the car to John's Garage. This is the condition precedent put by Peter to Sam. Sam subsequently allowed Peter to drive off the car, a valid contract has been completed. Peter is liable for the amount $40000 to Sam as he had accepted and completed his obligation by act as requested by Peter in his counter-offer. Offer and acceptance had been completed. Sam has the legal claim against Peter.
