In a private limited company, the ownership of shares is set out in the Memoranda and Articles of Association. This can be varied and is usually done at the company's AGM or at an EGM where the directors are present.

The shares in Public Limited Companies are available to purchase on the stock market. Again, the decision to make shares available for sale or raise more share capital is usually made at AGM's. The shareholders may have a vote on the decision as well as the directors putting up the proposal.
