black money and setup office

i am going to set up an international business in HK with my USA friend. And my friend will invest HK$25,000,000 in this company. so, when my friend transfer the money to my account, will the bank consider it as black money and frozen my account ?

What is the normal and correct procedure to do it ?

1. If you are conducting a normal business with a business associate, I do not think you will be charged for money obtained by an illegal purpose.
2. All the banks in Hong Kong has the duty to report the the Government of any irregular fund transfer. If your Company's account is being frozen, the order must be from the Government and not the bank itself.
3. You must prove your friend's fund transfer and that the fund by itself is clean (Hope you are not doing anthing with the AIG seniors who obtained exceptional high bonus!).
4. If you mention that your friend is investing in your business, then you must have some documentation of the intent by both parties, the nature of the venture, shareholders' agreements etc.

Thanks alot ! very helpful to me. So, should i employ a lawyer to prepare the necessary document/agreement with my USA friend ? or qualify accountant can do this ?
