If this is a nominee director, the nominee is acting on behalf of the nominator upon his instruction. This is similar to a trust arrangement. However, the nominee is fully accountable and primarily liable for all his acts on the operation of the limited company. The nominee has the course of action to claim back the nominator for any damages etc. if he is acting in good faith on behalf of the nominator. Strictly speaking, the nominee director has the same obligations, rights as the other 'usual' director.
