Business Registration

URGENT !!

I have set up a new private local company and got the C.I. last month. Can I not to apply the B.R because I have not commenced any business yet. Can I apply exemption from IRD?

Please help, thanks !!

1. There is no exemption for registration under the Business Registration Ordinance in the case of a company incorporated under the Companies Ordinance.
2. As you have not yet commenced business, you can choose not to apply for Business Registration until the time you commence business. That was the usual practice for some of the commercial shelf companies provider but whether the Government will penalize them I am not sure.
3. You should register your company with IRD within say one year to avoid any penalties from the Government.
4. Please check with your accountant or lawyer.

Your company is a limited company with the Certificate of Incorporation. According to Business registration Ordinance, all limited company must has a BR Certificate irrespective whether the company has commenced its business or not unless the company is deregistered or being wound up.
