please help all leagal experts! Director's fiduciary duty

what is the section number in Company Ordinance governs the Director's fiduciary duty? is there any? if no, does that mean the company(plaintiff) must resort to case law if they want to sue the director who has breached the fiduciary duty? Also, is there any help for the plaintiff referring to non-statutory guideline for directors' duties which is published by Company Registry? but I know it has no legal binding power though. Thanks a lot this is very urgent!!!

There is no specific section in the Company Ordinance that defines the Director's fiduciary duty. But Sections 153 - 168 of this ordinance are related to the duties and responsibilities of a Director.
Non-statutory guidelines are what they are - guidelines. They have no legal power and are not binding on any of the parties. Usually they will not be accepted by the Courts.
