Note :
1. exclusivity is a very common term of being a sole agent, I do not understand why you found it strange as if someone give you the exclusivity, they are actually “granting” you the exclusivity. Even if you do not want to be the sole agent but only want to be just one of the agents, your agency right is also being “granted” by the manufacturer.
2. As a person working for more than 20 years in the commercial field which mainly deal with agency, exclusivity, licensing and merchandising, I do not really see there is any problem of your first letter. So I suggest you to judge everything by yourself, not to listen to too many opinions.
