未有或逾期提交申報表的後果
逾期提交周年申報表的公司，須繳付較高的註冊費用。本地有股本的私人公司逾期提交周年申報表時須繳付的註冊費用如下：

Before you incorporate the co. in Hong Kong, you should determine the company name and you can reach the companies registry cyber search centre web site (www.icris.cr.gov.hk) to search the comapny names. You cann't register a company name twice with company registry.

After you choose a company name, you should submit the form duly compelted NC1 with registration fees at least HK$17XX together with the printed copy of Memorandum and Articles of Association submitted to company registry for their consideration. For 3 weeks working days, if your application is successful, company registry will issue a certificate of incorporation to your company. Therefore, you should submit the form D1 and D3 to appoint the first director and secretary to company registry. On the other hand, after registration of your company, you could apply the Business Registration Certificate together perscribed fees HK$450 this year to Inland Revenue Department.

If you are new to this issue and to form up a company, I suggest you should find a reliable party to help you. This involve the making and printing of the Memorandum and Articles of Association, Share Certificates etc. of the company. Moreover, there must be a declaration in the Companies Registry during the formation process.
