如何退出公司股東?

請問你的公司屬於那一種類？　有限公司或是無限公司？
你是beneficial owner or nominee?
有限公司的股東，如果你是股票上的實益擁有人，請你先預備一份Instrument of Transfer and Bought and Sold Note　由買賣家雙方簽署．　另外，如果有限公司已經開始營運，請你帶備最近一年的Audit Accounts or Management Accounts 以及公司的Memorandum and Articles of Association甚至你與買家有Sales and Purchase Agreement 亦可以交予稅局的印花署考慮，否則一般新公司尚未有業務，則需要一封由Subscriber簽署一份聲明，證明公司成立後直至Stamp前都沒有任何Business．　如果，屬於此類別的公司，Bought and Sold Note只需兩元．　如果，你的公司屬於已經營運，需由印花署評稅後，再繳付相關費用．　　當你成功取得Stamped的文件，請你的公司秘書預備一份Board Minutes or Written Resolution signed by 董事，及一張新的股票由董事簽署生效．　舊的股票可以取消．　另外，你在股東登記名冊上，亦會登記相關買賣．

If this is a limited company, you should get somebody to take up your shares. Otherwise, you could not be out as a shareholder of a limited company.
If there is a person taking up your share at a price, an instrument of transfer and bought and sold note be prepared, signed by all parties and stamped in Inland Revenue Department. Thereafter the Instrument of Transfer together with the old certificate for cancellation should be lodged to the company for approval by the Board of Directors in a meeting. Frankly speaking, it can be done by any persons but, of course, he/she should know the procedure thereof.
