A shareholder could be a director and could also act as the Company Secretary.
Company documents are usually signed by the directors and in some situation only signed by the director(s) and/or company secretary.A person signing on documents on behalf of the company must clearly stated out his capacity. If he is acting as a director and a company secretary, he could only sign on the document in ONE capacity only.
So, you still have to note the requirement in an agreement/document for the signing arrangement or else the document could not be signed legally and is then executable.
