公司改組停止運作兩月點算

公司有一位股東要退出, 另一位補入, 公司話要停止運作兩個月, 要將過去一年的數目結清, 完成核數上稅局後, 公司改名改股東等重組。請問我們一班同事在這兩個月內是否有保障地支取薪金, 改組後我們的年資福利是否順延至新公司, 如果公司不發薪金, 我們應該如何去爭取本身應得利益?

我相信你們工人要派代表去見公司的負責人要求公司表態,證清以下問題:1.新公司會否全面留用舊公司員工?2.留用時的聘用條款有沒有更改?3.會否承認舊員工的年資?4.停工兩個月時對工友作何安排?
若公司重組後要更改聘用條件的話,這就意味著舊公司是結束營業,工友是有權要求舊公司的負責人發放遺散費,如無足夠解顧通知期還得支付解顧代通知金,有薪年假及年終雙糧要按比例支付。
若新公司承擔舊公司一切對員工的責任,那焦點就放在停工兩個月上了,勞工法例有規定公司若連續四星期、每周工作少於三天,每天少於四小時(希望我沒有記錯),工友就可以向公司要求遣散。
你們這種情況,我建議你們最好和有關公會聯絡,要求協助,如不知找那間工會,可直接找職工盟或工聯會求助。

I think you are talking about your company is a limited company. If this is true, I don't think you should put a worry on it. There is no change in your employment as there is no change in your employer. Your entitlements under this employment contract will remains unchanged.The changes in shareholders and change of name will not affect the status of the limited company as the same legal person. Therefore, it will not affect the status of your employment. In principle, you are entitled to salary and existing benefits even the limited company is not operating for the coming 2 months.
The existing directors may contact you all for this kind of restructuring. Should you still in doubt, you could contact the Labour Department for assistance.
