Peter has begun to feel secure in his life. One night in a park, while Peter and Mary Jane are on a date, a small meteorite crashes nearby. A symbiote oozes out and follows him home. Harry Osborn still seeks vengeance for his father's death, which he believes Peter caused. A battle between the two leaves Harry with short-term amnesia, forgetting his vendetta against Spider-Man.
While escaping from police, Flint Marko stumbles into a particle accelerator which transforms him into sand. During a festival honoring Spider-Man for saving Gwen Stacy’s life, Marko attempts to rob an armored car. Spider-Man shows up, but is overpowered. Later, Captain Stacy informs Peter and Aunt May that Marko is the one who killed Ben Parker. Peter vengefully waits for Marko to strike again, and while asleep, the symbiote bonds with his costume. Peter discovers that not only has his costume changed, but that his powers have been enhanced as well.
The black suit also alters Peter's personality, making him more violent, evidenced by his near lethal attack on Marko after a battle in a sewer. This shift in his personality alienates Mary Jane, and she finds solace in Harry. Harry soon recovers from his amnesia and attacks, convincing her that in order to save Peter she must leave him. Mary Jane attempts this, but Peter's persistence leaves her frustrated. She blurts out that she is now dating someone else, leaving behind a weeping Peter. Peter is next seen at a restaurant with Harry, who tells him that MJ is dating him. Shocked at his friend’s betrayal, Peter leaves, however when he turns back, he realizes that Harry has recovered from his amnesia. Harry speeds off before Peter can confront him, and Peter finds him at the mansion. Harry taunts Peter with his own familiarity with MJ, and Peter ruthlessly attacks him. In a one sided fight, Peter is victorious.
He goes to MJ's restaurant with Gwen to spite her, and is eventually grabbed by the bouncers. In a rage, he mistakes MJ for a bouncer and accidentally shoves her to the floor. Realizing the suit is changing him for the worse, Peter runs out of the restaurant and decides to get rid of the symbiote, going to a church to remove it. Initially unable to pull the suit off, the sound waves from bells weaken the symbiote, freeing Peter. Eddie Brock, a rival photographer who Peter previously embarrassed, is at the same church, prays for Peter’s death. Overhearing Peter's struggle, Brock discovers that Peter is Spider-Man. The symbiote falls from the tower and takes over Brock. He finds Marko and suggests they join forces to destroy Spider-Man.
The pair use Mary Jane as bait to lure Spider-Man to confront them. Peter approaches Harry for help, but is turned down. Spider-Man arrives and is nearly beaten to death. After learning that Spiderman was not responsible for his father's death, Harry arrives and rescues Peter. They effectively team up against Brock and Marko. As the fight progresses, Eddie grabs Harry's glider and lunges at Peter; Harry blocks the attack and is impaled instead. Remembering what happened in the church, Peter frees Eddie from the symbiote by creating sound waves from clanging several pipes together. However, Eddie has grown too attached to its power, and willingly rejoins the symbiote just as Peter throws a bomb at it. After the battle, Marko tells Peter that he had no intention of killing Ben Parker, that it was an accident born out of desperation. Peter forgives Flint, who floats away. Harry dies with Mary Jane and Peter by his side. Peter and Mary Jane renew their relationship.
