The authorised capital ( AuC ) is the maximium amount of capital that a limited company could issue to its shareholders. The amount of the authorised share capital is initially stated in the Memorandum and Articles of Association of the company. And, this AuC could be increased with a resolution passed in the shareholders' meeting. This resolution of increasing AuC has to be filed with the Comapnies Registry ( CR ) as required under the Companies Ordinance. A cpital fee has also be paid to CR. This resolution is then available for public inspection. Thereafter, you can increase the issued capital and allot these to shareholders but, of course, not exceeding the amount of the Authorised Capital.
