Member = shareholders (股東), i.e. the real owner of the company, and his shareholding is based on the number of shares he held. Common shareholder has right to vote on the Annual General Meeting for several issues, such as appointment of Director, appoint auditor, or any special issues as specified in the Company's Memorandum & Articles of Association. A member can be either individual or corporate.

E.g. 近期中原地產小股東 王文彥(佔 45% 股權), 提出自己應入主董事局 (for daily operation, such as bonus determination for management), 但很大機會被大股東否決

Company director = 董事, they are elected by shareholders to monitor over the daily operation of the companies. In HK, a company may only have 1 director + 1 secretary, and usually the director is the major shareholder of small companies.
E.g. 施永青為中原地產之董事兼大股東
