Management fee agreement

My company wants to charge a sort of Management fee (i.e. a lump sum fee) to intercompany in order to cover some operating cost. However, auditors request my boss to draft a Managment fee agreement (so difficult). Can anyone of you can help by giving me a sample for such kind of agreement? Thanka a lot.
