Features of a limited partnership: 有限合夥的特徵：

1. Some partners in the limited partnership are general partners and they have the same obligations (義務) as the general partners in a general partnership.

有限合夥企業內有些是普通合夥人。普通合夥內的普通合夥人的身份和有限合夥內的普通合夥人的身份無異。

2. Some partners in the limited partnership are limited partners (or sleeping partners) who enjoy limited liability. If the business fails, the responsibility of the limited partners is limited to the amount they have invested. They don't have to use their personal property to repay the debts of the partnership.

有限合夥企業內有些是有限合夥人。有限合夥人負有限債務責任，就算企業破產，資不抵債，有限合夥人要負的債務責任限於所投資的部分，有限合夥人不必用私人財產去償還廠商所有的債務。

3. There must be at least one general partner in the limited partnership with unlimited liability.

有限合夥企業內最少有一位普通合夥人負上無限債務責任。

4. The rights of a limited partner are restricted. They do not manage the firm, they cannot withdraw their capital nor dissolve the partnership and the limited partnership will not end if a limited partner retires, goes bankrupt or is dead.

有限合夥人的權益有所限制，他們不參與管理，也不可撤走資金或解散合夥。有限合夥人退休、破產或去世不影響廠商的業務，企業不必結束。

5. Members of a limited partnership need to register with the Companies Registry (公司註冊處)

有限合夥須到公司註冊處登記。



Features of a Public limited company公眾有限公司的特徵：:　

1. There is no upper limit on the number of shareholders but there should have at least two.

公眾有限公司的股東人數最少兩人，但沒有上限。

2. The transfer of shares of a public limited company is not restricted to the present shareholders. In case the public limited company is a listed company (上市公司), with the approval of the Securities and Futures Commission of Hong Kong (香港證券及期貨事務監察委員會) and the HKEx (香港交易所)*., its shares can be traded in the stock exchange.

公眾有限公司的股份轉讓限制較少，並不局限於現有股東；公眾有限公司如果符合資格，可申請上市集資，經香港證券及期貨事務監察委員會批准，便可在香港交易所轄下的聯交所公開交易。

3. A public limited company needs to disclose 公開its financial status and must also be made known to the public.

公眾有限公司須向公眾公開財務狀況。
